NEKOLIFE COMMON TERMS OF USE - VERSION 1.0
Effective October 16, 2026

English reference translation of the Japanese common terms:
https://nekolife-terms.photolife-guide.workers.dev/

The Japanese original is authoritative. This translation is provided for
reference and does not replace the original or change its permissions.
The rights holder is the person identified in the Japanese original,
operating the NekoLife shop (the "Rights Holder").

The Rights Holder licenses use of the Data under these terms. Read them before
purchasing or beginning use. Minors and other persons with limited legal
capacity must obtain the consent of their legal representative beforehand.

LICENSED DATA
All gimmicks and accompanying data sold or distributed by the Rights Holder
through the NekoLife shop or another authorized distributor with these terms
applied, including NekoLife, PhotoLife and future gimmicks.

SPECIAL PROVISIONS

Corporate purchase units
Corporations must purchase a license to the relevant product for each person
who uses the Data. Bulk purchasing is permitted, but one person's purchase
cannot be shared among multiple people.

Interaction with third parties versus public use
Condition E does not prohibit others from touching or operating the user's own
gimmick, or interacting through its intended linked functions. Sharing or
lending the product data or avatar itself is prohibited. Placing the Data in a
public world so that visitors can use it as a facility or similar installation
is also prohibited.

Commissioned installation and modification
Transferring original or processed Data between a client and contractor to the
extent necessary for work permitted by Condition L is an exception to M and N.
Payment for a commission must be for the work; the product Data itself may not
be sold.

Photos, videos and merchandise versus source assets
Conditions O through Q do not allow extracting the product's original images,
models, textures, code or other assets, or using capture or export to distribute
or sell material that effectively substitutes for the original Data.
Using the Data alone does not transfer rights in the user's imported photos
or images, or in photos, videos and other works they create, to the Rights Holder.

AI input and training
When submitting product Data to AI for installation advice, troubleshooting,
personal modification or similar purposes, use a service and settings under
which the submitted contents are not used to train the provider's models and
are not made public or shared with other users. Transmission and storage
necessary for that processing are exceptions to the redistribution prohibition.
Training or additional training of AI using product Data is permitted only
for the user's own exclusive use. Keep training data and trained models private,
and do not provide them for training a provider's general-purpose models.
Publishing, sharing, distributing or selling trained models, LoRA or similar
materials to third parties is prohibited.
AI processing of photos and videos taken by the user that depict the Data,
and AI training exclusively for the user's own use with those photos and videos,
are also permitted. Direct input of the original product Data must satisfy the
input conditions above. The redistribution prohibitions and other terms also
apply to outputs, but do not impose a blanket prohibition on publication or
sale of photos, videos or independently created derivative works otherwise
permitted by the Individual Conditions.

Third-party rights and official endorsement
Users must separately verify the rights and permissions needed to use third-
party photos, images, avatars, worlds and other materials. The AI permissions
apply only to data that the Rights Holder is entitled to license.
Do not imply that the Rights Holder or shop officially created, supports,
recommends or endorses your work or activities when that is not the case.

Support
Support generally covers use within the supported environments and installation
procedures stated on the product page and in the instructions. Investigation,
correction or successful operation after modification, in unsupported
environments or in combination with other products is not promised.
Permanent operation, updates or support following changes to external services
or similar circumstances are not guaranteed. This does not categorically exclude
responsibility for quality or functions expressly described for the product,
or statutory rights to repair, refunds or similar remedies.

Supplement to the disclaimer
The wording in Article 3 of the Basic Terms purporting to exclude all liability
of the Rights Holder does not apply; applicable law governs. For slight
negligence, compensation covers direct and ordinary damage and, for a paid
product, is capped at the purchase price of that product. This limitation does
not apply to intent or gross negligence. No purchase-price cap applies to
freely distributed Data.

BASIC TERMS

Article 1. Definitions
"Data": the data identified under Licensed Data in the Individual Conditions,
and its Parts.
"User": an individual or corporation that legitimately obtains the Data from
the Rights Holder or a designated third party, for example by an authorized
purchase or download.
"Noncommercial paid use": an activity not intended to generate profit, for
which compensation is received to cover material costs or necessary expenses,
regardless of its form, description or recipient. An activity producing profit
beyond that compensation for business purposes is commercial, although a small
amount of profit is acceptable when it is not clearly business-oriented.
"Commercial use": an activity for business purposes or to receive compensation
that does not qualify as Noncommercial paid use.
"Avatar": an image, icon, 3D model or similar representation of an entity.
"Social communication platform": a service enabling one-way or two-way
communication with others online.
"Online game platform": a service providing online games, or an online game
itself.
"Adjustment": the minimum corrections necessary to use the Data properly,
including minor changes to weights or rigs.
"Modification": processing all or part of the Data beyond Adjustment so that
it differs from its original state.
"Parts": components, materials and other data obtained by separating the Data,
including weights and rigs.
"Transfer of rights and obligations": transferring or lending all or part of
rights or obligations to a third party, providing them as security, or having
a third party assume them.

Article 2. License grant
1. The Rights Holder grants the User a nonexclusive worldwide license to use
the Data personally, in the ways described in these terms, for the period
specified under License Period and Changes to the Terms. A minor or other
person with limited legal capacity must first obtain the consent of their
parent, guardian or other legal representative.
2. If the Individual Conditions conflict with the Basic Terms, the Individual
Conditions prevail. The Special Provisions prevail over other provisions.
3. The User may reproduce and use the Data within the scope of this license.
4. Permission to use the Data in a particular system includes the minimum
sublicensing of rights required by that system to achieve the permitted
purpose. For example, on uploading, a system operator may require rights
to use, reproduce or distribute the Data to provide its service. This does
not apply where the system's requirements or terms are markedly unfair or
disadvantageous to the Rights Holder by ordinary social standards, or where
damage or disadvantage to the Rights Holder by the operator is foreseeable.
5. Where expressly permitted by the Individual Conditions, the User may engage
a third party to adjust or modify the Data. The User must prohibit the
contractor from using it for any purpose other than the commissioned work
under the User's instructions, and is jointly responsible to the Rights
   Holder for the contractor's actions.
6. Use in ways not described in these terms requires the Rights Holder's
   express permission in advance.

Article 3. Disclaimer
The Data is provided as is. The Rights Holder does not warrant fitness for a
particular purpose, noninfringement of third-party rights, absence of defects,
or matters arising from laws, culture, business practices or the use process.
The User bears responsibility for using the Data and releases the Rights Holder
from liability. The Rights Holder bears no liability for damage arising from
use or inability to use the Data. Even where liable, unless prohibited by law
or involving intent or gross negligence, liability is limited to direct and
ordinary damage up to the price at which the Data was provided.
The Special Provision "Supplement to the disclaimer" above takes precedence
over this Article, including its blanket exclusion of liability.

Article 4. Ownership and open-source software
1. Intellectual property and other rights in the Data and Parts, including
copyright, belong to the Rights Holder or third parties, whether in whole
or in part and regardless of form. No rights are granted to the User except
as expressly provided in these terms.
2. The Data may include third-party or open-source software. Such material is
licensed under its applicable individual licenses ("Open-Source Licenses").
These terms do not restrict the User's rights under those licenses or grant
substitute rights. If a conflict exists, the applicable Open-Source License
prevails only for the conflicting part.

Article 5. Prohibited acts and termination
1. The User must not use the Data to:
   a. Infringe intellectual property, including copyright, patents and trademarks,
      privacy, name, likeness or other rights of the Rights Holder or third parties;
   b. Violate the terms of services provided by the Rights Holder or third parties
      and cause damage;
   c. Defame or damage the reputation of any individual or organization;
   d. Violate, or risk violating, these terms, laws, public order or morals;
   e. Disadvantage the Rights Holder or third parties or damage their credibility;
   f. Interfere with distribution, updates or suspension of publication of the
Data by the Rights Holder or designated third parties; or
   g. Engage in other acts the Rights Holder reasonably determines inappropriate.
2. If the User violates these terms, the Rights Holder may terminate the license
and bears no responsibility for disadvantages resulting from termination.

Article 6. Liability for damage and disputes
1. If a violation causes damage to the Rights Holder or a third party, the User
is liable for all resulting direct and indirect damage and must, at their
own responsibility and expense, take measures to minimize it. Follow the
Rights Holder's instructions regarding those measures where given.
2. If a violation creates a dispute between the Rights Holder and a third party,
the User must resolve it at their own responsibility and expense, following
the Rights Holder's instructions regarding resolution where given.

Article 7. Exclusion of antisocial forces
1. The User represents and warrants, now and in the future, that they are not
an antisocial force and will not commit unlawful violence, fraud, threats,
obstruction of business or similar acts. For corporations this applies to
their officers and employees. Antisocial forces include organized crime
groups and members, persons who ceased membership less than five years ago,
quasi-members, related companies, corporate racketeers, persons posing as
social activists, specialized intellectual criminal groups and equivalents.
2. The User must not provide the Data or Parts, including modified versions,
to antisocial forces or commission them to adjust or modify the Data.
3. A violation permits the Rights Holder to terminate the license without
notice or demand. The Rights Holder need not pay compensation, and the User
must compensate the Rights Holder for resulting damage.

Article 8. Governing law and other matters
1. These terms are governed by and interpreted only under Japanese law. The
Japanese court with jurisdiction over the Rights Holder's location has
exclusive agreed jurisdiction as the court of first instance for disputes.
2. This license is granted in Japanese. Translations are supplied for reference
only and do not bind the Rights Holder or User. This does not apply to an
Individual Condition or an instruction under these terms that is given only
in a language other than Japanese, solely for that condition or instruction.
3. If a provision, part of a provision, or an individual instruction under
these terms is held invalid or unenforceable by law, the remaining provisions
continue in full force and effect.

LICENSE PERIOD AND CHANGES TO THE TERMS
The license begins when the User legitimately obtains the Data and agrees to
these terms. It has no fixed end date, except upon termination or ending of
the license under these terms.
The Rights Holder may amend these terms in accordance with Article 548-4 of
the Japanese Civil Code and other applicable law when this benefits users
generally, or when reasonable in view of the need for and appropriateness of
the changes and other circumstances without contradicting the contract's
purpose. Notice that the terms will change, the revised contents and the
effective date will be provided on this site, the BOOTH shop page or similar
channels by the effective date. Application to existing users follows legal
requirements; changing a posted document alone does not automatically apply
it to every past purchase or use. Changes requiring individual consent will
apply after that consent is obtained.

These terms are based on and modify the VN3 License Version 1.10 template.
The Japanese original is authoritative.
